Where2Vibe Promoter Program Terms

Nothing in these Promoter Terms is legal, tax, or financial advice.

These Where2Vibe Promoter Program Terms (the "Promoter Terms") govern participation in the Where2Vibe promoter program (the "Program"). The Program lets approved users ("Promoters") help promote events and hosts on Where2Vibe and, when eligible, earn a commission.

These Promoter Terms are a standalone, independently versioned document. They add to, and do not replace, the Where2Vibe Terms of Service, Privacy Policy, Community Guidelines, and Ticket Purchase & Refund Policy. If a specific conflict exists between these Promoter Terms and the Terms of Service on a promoter-specific topic, these Promoter Terms control for that topic.

How to read this document. Words like "may," "eligible for," "subject to review," "based on availability," and "in our discretion" mean something is possible, not promised. Any specific commission percentage, payout amount, or deal term applies only if Where2Vibe provides it to you directly and in writing or through the app.

Program status: paused. The Where2Vibe Promoter Program is currently paused. New promoter commissions are not accruing while the Program is paused. Separately, Where2Vibe's standard host platform fee is currently 0%, and because promoter commission is calculated only from the host platform fee recorded on an order (see Section 3), an order placed under the current standard fee model would produce no commission even if the Program were active. These Promoter Terms will be updated if the Program resumes. Nothing in this notice is a promise that the Program will resume, that it will resume on any particular terms, or that any commission will be offered in the future.

1. The Program and who can join

The Program is admin-controlled and access is granted by Where2Vibe on an individual basis. Applying, expressing interest, or meeting general criteria does not guarantee acceptance.

Promoter access is separate from, and is not the same as, host approval, co-host access, partner or sponsorship approval, or Partner Assets access. Holding any other role or approval does not by itself grant promoter access, and promoter access does not by itself grant any other role or approval.

You must be at least 18 years old and have a Where2Vibe account in good standing to participate. Where2Vibe may pause, change, or end your promoter access, or the Program itself, at any time as described in these Promoter Terms.

2. Independent relationship

Participation in the Program does not make you an employee, agent, partner, joint venturer, or representative of Where2Vibe. You have no authority to act for, bind, or make commitments on behalf of Where2Vibe.

You are responsible for how you promote. You must not make false, misleading, or unauthorized claims about Where2Vibe, hosts, events, ticket availability, pricing, or outcomes.

3. How promoter commission is calculated

When a Promoter is properly attributed to a qualifying paid ticket order, the Promoter may be eligible for a commission. The commission is calculated only from the Where2Vibe host platform fee for that order - that is, the platform fee Where2Vibe retains from the host's portion, as recorded on that order. It is calculated from that recorded host platform fee before Stripe processing fees, and Stripe processing fees do not reduce the promoter commission.

Where2Vibe's standard host platform fee is currently 0% of the listed ticket price. An order placed under that standard fee model retains no host platform fee, so there is no commission base and the order generates no promoter commission. Where2Vibe does not substitute the buyer service fee, the listed ticket price, or any other amount as the commission base when the host platform fee is zero.

The buyer service fee is never commissionable. The buyer service fee added at checkout is not part of the commission base. The listed ticket price itself is not the commission base either. Promoter commission is a share of the Where2Vibe host platform fee only.

A promoter commission is paid out of the fee Where2Vibe already retains. It is not an extra charge added to the buyer, and it is not an additional amount deducted from the host beyond the host platform fee the host already agreed to. In other words, the Program shares part of Where2Vibe's own fee and does not change what the buyer pays or what the host nets.

Where2Vibe sets the promoter commission rate that applies to eligible orders, and may offer different rates (including a higher rate for certain promoters, sometimes described as a VIP rate). The rate that applies to a given order is the rate in effect and recorded for that order at the time of the qualifying purchase, and is not changed afterward by a later rate update unless required by law, payment processing, fraud prevention, or correction of an error. The commission is calculated in whole cents and can never exceed the Where2Vibe host platform fee retained for that order. Free tickets (priced at $0) do not generate any promoter commission.

4. Attribution and promoter referral codes

"Attribution" is how Where2Vibe determines whether a Promoter is credited for a host or an order. Where2Vibe decides attribution in its discretion using the referral, promoter, and account information described in the Privacy Policy.

Each Promoter is issued a stable, reusable referral code (or referral link). The code is unique to that Promoter, is treated as case-insensitive, and is not used up after a host uses it - the same code can be used by many different eligible hosts, and a Promoter does not need a new code for each host.

Each host can be attributed to only one Promoter. The first valid attribution wins: once a host is validly attributed to a Promoter, a later code entered by that host does not silently overwrite the existing attribution. A referral code is never reassigned to a different Promoter, and Where2Vibe preserves a historical record of the original code used for each attribution.

A valid host-to-Promoter relationship lasts indefinitely. It does not automatically expire after any fixed period of time. Once an eligible host is validly attributed to a Promoter, that relationship stays in effect unless it is ended under an approved Program rule, disqualified for fraud or abuse, corrected by an authorized Where2Vibe administrator, or reassigned through an explicitly approved and audited process. Any such administrative correction or reassignment is authorized and recorded.

5. Who cannot earn commission on an event

To keep the Program fair and to prevent self-dealing, a Promoter cannot earn a promoter commission on an order for an event where that same person is:

Where2Vibe treats each qualifying order as generating at most one promoter commission obligation for a given Promoter. A person may not stack promoter commission on top of host earnings or a payout-split share for the same event, and may not use additional or duplicate accounts to work around this rule.

Promoter commission is tied to the event's primary host. A commission is only earned on orders for an event whose primary host is the same host who is attributed to the Promoter. If the host attributed to the Promoter is not the primary host of a particular event - for example, because that host takes part in someone else's event only as a co-host or as a payout-split recipient - that event does not generate a promoter commission for the Promoter, even where the attribution is otherwise valid.

6. When commission becomes eligible

A promoter commission is not final at the moment of purchase. It generally becomes eligible only after the related event has ended and the associated refund, dispute, and chargeback window has passed, and after Where2Vibe has completed any review it considers appropriate. Eligibility is measured from the event's scheduled end - at the earliest, around 24 hours after the event end - and is never measured from the event's start time.

Until a commission is eligible and paid, it is pending and may be delayed, reduced, withheld, reversed, or canceled - for example if the order is refunded, voided, or disputed, if the event is canceled or removed, if the ticket is free, or if Where2Vibe identifies a policy violation, fraud signal, or error.

7. Payment of commissions

Where2Vibe calculates and tracks eligible promoter commissions inside the app. Where2Vibe determines the method, timing, and minimum thresholds (if any) for paying eligible commissions, and may provide, change, or require payout or tax onboarding (including through a third-party payment processor such as Stripe) before any commission is paid. A commission may accrue in the app before a Promoter completes payout onboarding, but no commission payment is sent until the Promoter's Stripe payout account is set up and ready to receive funds.

Payout timing depends on Where2Vibe's processes and on third parties such as payment processors, banks, and card networks. Where2Vibe does not promise a specific arrival date or time for any commission payment. Where2Vibe may hold, offset, or recover amounts that were paid in error, that relate to refunded or disputed orders, or that were obtained in violation of these Promoter Terms.

Where2Vibe does not guarantee any amount of earnings. Commission depends on eligible, attributed, completed paid ticket sales, and many events produce little or no commission.

8. Disclosure and honest promotion

When you promote events or hosts as a Promoter, you must clearly and honestly disclose that you have a promotional or paid relationship where disclosure is required by law or by applicable advertising rules (for example, using a clear label such as "ad," "paid," or "promoter").

You are responsible for following all laws and platform rules that apply to your promotion, including advertising, endorsement, disclosure, anti-spam, and messaging rules. You must not promise refunds, guaranteed entry, or outcomes that you are not authorized to promise.

9. Prohibited conduct

Where2Vibe may verify, delay, withhold, reduce, reverse, cancel, or deny any promoter commission, status, badge, or benefit if it believes, in its discretion, that the activity involved:

Commission connected to prohibited conduct is not earned and may be withheld or reversed. To protect the integrity of the Program, Where2Vibe does not publish the specific internal thresholds or detection methods it uses to identify abuse.

10. Taxes

You are responsible for any taxes on commissions you receive. Where2Vibe may require valid tax information before paying commissions and may report payments and issue tax forms where required by law. Where2Vibe does not provide tax advice; consult your own advisor.

11. Suspension, termination, and forfeiture

Where2Vibe may suspend or end your promoter access, or the Program, at any time, including if requirements are not followed, if information you provided is inaccurate, if abuse or fraud is suspected, or for reasonable operational reasons.

If your access ends, you stop being eligible to earn new commission. Pending commission that is not yet eligible may be forfeited if it is connected to a violation of these Promoter Terms; otherwise, Where2Vibe will handle already-eligible commission in accordance with these Promoter Terms and applicable law.

12. Changes and versioned acceptance

These Promoter Terms are versioned. The current version and effective date are shown at the top of this document. Where2Vibe may update these Promoter Terms, and will update the version and effective date when it does.

Where2Vibe may require you to review and accept the current version of these Promoter Terms before you join the Program or continue participating, and may require you to accept a new version after a material change before you can continue earning commission. Your acceptance is recorded against the version in effect at that time. If you do not accept a required version, you may not be able to continue participating in the Program.

13. Disclaimers and limits

The Program is provided on an "as is" and "as available" basis. Where2Vibe does not guarantee growth, sales, attendance, reach, commission, or any other outcome. The limitations of liability, disclaimers, indemnification, dispute resolution, arbitration, class-action waiver, and governing-law provisions in the Terms of Service apply to your participation in the Program.
